1. Introduction and Acceptance

1.1 These Terms and Conditions ("Terms") govern access to and use of Instareservation.com, including its website, mobile applications, and related services (collectively, the "Services"), operated by Hydra Travels Inc. ("Instareservation", "the Platform", "we", "us", or "our").

1.2 By accessing the Platform, creating an account, or completing a booking, you ("User", "you", or "your") agree to be bound by these Terms and by the Privacy Policy, both of which are incorporated herein by reference.

1.3 If you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" shall refer to that organisation for the purposes of these Terms.

1.4 If you do not agree to these Terms, you must not access or use the Services.

2. Definitions

2.1 "Booking" means a confirmed reservation for accommodation, or ancillary service, made through the Platform.

2.2 "Hotel Partner" means any accommodation provider, property owner, or hospitality management entity whose inventory is listed on the Platform.

2.3 "Content" means all text, images, ratings, reviews, and other material appearing on the Platform.

2.4 "Account" means the registered profile created by a User to access certain features of the Services.

2.5 "Booking Confirmation" means the electronic communication issued by the Platform confirming the details of a Booking.

3. Eligibility

3.1 Use of the Services is limited to individuals who are at least eighteen (18) years of age and who possess the legal capacity to enter into a binding contract.

3.2 By using the Services, you represent and warrant that all information you provide is true, accurate, current, and complete, and that you will maintain the accuracy of such information.

3.3 We reserve the right to refuse access to the Services, or to cancel a Booking, where we reasonably believe a User does not meet these eligibility requirements or has provided false information.

4. Nature of Services

4.1 Instareservation operates as an online intermediary that enables Users to search, compare, and book accommodation offered by independent Hotel Partners. We are not the owner, operator, or manager of any property listed on the Platform.

4.2 The contract for accommodation and associated services is formed directly between the User and the relevant Hotel Partner. Our role is limited to facilitating the Booking and processing payment on behalf of, or as agent for, the Hotel Partner, as applicable to each listing.

4.3 Descriptions, photographs, amenities, star ratings, and reviews displayed on the Platform are provided by Hotel Partners or by third-party content providers. We take reasonable steps to verify accuracy but do not independently inspect every property and do not guarantee that such information is complete or error-free.

4.4 We do not control, and are not responsible for, the actual provision of accommodation, the physical condition of a property, staff conduct, or compliance with local safety and licensing requirements by any Hotel Partner.

4.5 Depending on the specific listing, we act in one of the following capacities.

• Booking Agent, where we process the Booking and payment on behalf of the Hotel Partner, and the contract for accommodation is between the User and the Hotel Partner.
• Merchant of Record, where we collect payment in our own name for onward remittance to the Hotel Partner, subject to our commission, while the underlying accommodation contract remains with the Hotel Partner.

4.6 The capacity in which we act for a specific Booking, and the applicable payment and refund mechanics, will be indicated at the time of Booking.

5. Account Registration and Security

5.1 Certain features of the Services require registration of an Account. You agree to provide accurate registration information and to update it as necessary.

5.2 You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account, whether or not authorised by you.

5.3 You must notify us immediately of any unauthorised use of your Account or any other breach of security.

5.4 We reserve the right to suspend or terminate an Account at our discretion, including where we suspect fraudulent activity, breach of these Terms, or misuse of the Services.

6. Booking Process

6.1 A Booking request is subject to availability at the time of confirmation by the relevant Hotel Partner. Display of a property or rate on the Platform does not guarantee availability.

6.2 A Booking is deemed confirmed only upon issuance of a Booking Confirmation by the Platform, following successful payment authorisation.

6.3 You are responsible for reviewing all Booking details, including dates, room type, occupancy, rate type, and cancellation terms, before completing payment. Errors identified after confirmation may not be capable of correction and may be subject to the applicable Hotel Partner's amendment or cancellation charges.

6.4 Certain rates are non-refundable or carry restricted cancellation terms. Such terms will be clearly displayed prior to completion of the Booking and, once accepted, are binding.

6.5 Check-in and check-out times, identification requirements, and any local taxes payable directly at the property are determined by the Hotel Partner and are disclosed on the Booking Confirmation to the extent available to us.

7. Pricing, Taxes, and Fees

7.1 Prices displayed on the Platform are set by Hotel Partners and may include or exclude applicable taxes, service charges, and Platform convenience fees, as indicated at the time of Booking.

7.2 We reserve the right to charge a booking or service fee for use of the Platform, which will be disclosed prior to payment and forms part of the total price payable.

7.3 Currency conversion, where offered, is provided for indicative purposes only. The exchange rate applied at the time of transaction settlement is determined by the payment processor or card issuer and may differ from the rate displayed at the time of Booking.

7.4 Prices are subject to change without notice until a Booking is confirmed. Once confirmed, the price stated on the Booking Confirmation is binding, subject to Section 9.

8. Payment Terms

8.1 Payment must be made through the methods supported on the Platform. Full or partial pre-payment may be required at the time of Booking, depending on the rate and Hotel Partner policy.

8.2 You authorise us, or our designated payment processor, to charge the payment method provided for the full amount of the Booking, including any applicable fees and taxes.

8.3 Where a Booking is settled directly at the property, the Hotel Partner's own payment terms and accepted payment methods will apply, and we bear no responsibility for such payment.

8.4 Chargebacks or payment disputes initiated without prior attempt to resolve the matter through our customer support may result in suspension of the Account pending investigation.

9. Cancellation, Modification, and Refund Policy

9.1 Cancellation and modification terms are set by each Hotel Partner and are displayed at the time of Booking. The table below summarises the general categories of rate types offered on the Platform.

9.2 Refunds, where applicable, are processed to the original payment method. The timeline for funds to reflect in a User's account depends on the User's bank or card issuer and is beyond our control.

9.3 Modification requests, including date changes and room upgrades, are subject to availability and may incur additional charges determined by the Hotel Partner.

9.4 We reserve the right to cancel a Booking and issue a full refund of amounts paid to us, without further liability, where a Hotel Partner is unable to honour a confirmed reservation due to overbooking, property closure, or similar circumstances beyond our control. In such event, we will use reasonable efforts to arrange comparable alternative accommodation.

10. No-Show Policy

10.1 Failure to check in on the scheduled arrival date without prior cancellation or modification constitutes a "No-Show" and may result in forfeiture of the full Booking amount, at the discretion of the Hotel Partner.

10.2 Where a Booking comprises multiple nights and the User fails to check in on the first night, the Hotel Partner may cancel the remaining nights of the Booking without further notice.

11. User Obligations and Conduct

11.1 Users shall not use the Services for any unlawful purpose or in a manner that infringes the rights of any third party.

11.2 Users shall not do, or attempt to do, any of the following.

• Submit false, misleading, or fraudulent Booking information or payment details.
• Use automated means, including bots or scrapers, to access, extract, or reproduce Content or pricing from the Platform.
• Interfere with, disrupt, or place undue burden on the Platform's servers or networks.
• Circumvent, disable, or otherwise interfere with security features of the Platform.
• Make speculative, false, or fraudulent Bookings, including Bookings in anticipation of demand for which the User has no genuine intent to complete a stay.
• Resell, sublicense, or commercially exploit any Booking made through the Platform without our prior written consent.
• Post defamatory, obscene, abusive, or unlawful Content, including in reviews.

11.3 Breach of this Section 11 may result in cancellation of Bookings, suspension or termination of the Account, and, where warranted, referral to law enforcement authorities.

12. Hotel Partner Obligations

12.1 Hotel Partners are independent contractors and are solely responsible for the accuracy of their listings, compliance with applicable hospitality, health, safety, and licensing laws, and the actual provision of accommodation booked through the Platform.

12.2 Hotel Partners are required, under separate agreements with us, to honour confirmed Bookings at the rates and terms displayed on the Platform, subject to the cancellation terms selected.

12.3 Any dispute regarding the standard of accommodation, service quality, or on-property charges should be raised directly with the Hotel Partner in the first instance. We will provide reasonable assistance in facilitating communication between the User and the Hotel Partner.

13. Reviews and User-Generated Content

13.1 Users may be invited to submit reviews and ratings following a completed stay. Reviews must reflect the User's genuine experience and must not contain defamatory, obscene, or unlawful material.

13.2 By submitting a review or other Content, you grant us a worldwide, royalty-free, perpetual, irrevocable licence to use, reproduce, publish, and display such Content in connection with the Services.

13.3 We reserve the right, but are under no obligation, to moderate, edit, or remove any User-submitted Content that violates these Terms or that we consider objectionable.

14. Intellectual Property

14.1 All trademarks, logos, trade names, software, text, graphics, and other Content on the Platform, excluding User-generated Content and Hotel Partner-supplied material, are the property of Hydra Travels Inc. or its licensors and are protected under applicable intellectual property laws.

14.2 We grant Users a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for personal, non-commercial Booking purposes only.

14.3 Users shall not copy, modify, distribute, sell, or lease any part of the Platform, nor reverse-engineer or attempt to extract the source code of any software used to provide the Services, except as permitted by applicable law.

15. Limitation of Liability

15.1 To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

15.2 We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or travel opportunity, arising out of or in connection with the Services, whether based on contract, tort, or any other legal theory, even if advised of the possibility of such damages.

15.3 Our aggregate liability arising out of or relating to a Booking shall not exceed the total amount paid by the User to us for that specific Booking.

15.4 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud.

15.5 We are not liable for any act, omission, negligence, or default of any Hotel Partner, including failure to honour a Booking, property condition, or on-site incidents, except to the extent such liability arises from our own negligence in facilitating the Booking.

16. Indemnification

16.1 You agree to indemnify, defend, and hold harmless Hydra Travels Inc., its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.

17. Disclaimer of Warranties

17.1 We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.

17.2 We do not warrant the accuracy, completeness, or reliability of any Content, pricing, or availability information displayed on the Platform, which is subject to change without notice.

18. Force Majeure

18.1 We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, epidemic or pandemic, war, terrorism, civil unrest, governmental action, labour disputes, or failure of third-party infrastructure.

18.2 Where a force majeure event affects a confirmed Booking, refund or rebooking terms shall be governed by the applicable Hotel Partner's policy and, where available, any applicable travel advisory exception.

19. Third-Party Services and Links

19.1 The Platform may contain links to third-party websites or integrate third-party services, including payment gateways and mapping tools. We do not control and are not responsible for the content, accuracy, or practices of any third-party service.

20. Termination and Suspension

20.1 We may suspend or terminate a User's access to the Services, with or without notice, where we reasonably believe the User has breached these Terms, engaged in fraudulent activity, or where required by law.

20.2 A User may close their Account at any time by contacting customer support. Closure of an Account does not affect obligations arising from Bookings made prior to closure.

20.3 Sections relating to intellectual property, limitation of liability, indemnification, dispute resolution, and any other provision that by its nature should survive, shall survive termination of these Terms.

21. Dispute Resolution and Governing Law

21.1 These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles.

21.2 Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall first be addressed through good-faith negotiation between the parties, initiated by written notice.

21.3 If a dispute is not resolved through negotiation within thirty (30) days of written notice, the dispute shall be referred to and finally resolved by binding arbitration administered in accordance with the rules of a recognised arbitral institution, seated in Wilmington, Delaware, conducted in the English language, before a sole arbitrator.

21.4 Nothing in this Section shall prevent either party from seeking urgent injunctive or equitable relief in a court of competent jurisdiction.

21.5 Users acknowledge that any arbitration or proceeding shall be conducted on an individual basis and not as part of a class, consolidated, or representative action, to the extent permitted by applicable law.

22. Grievance Redressal

22.1 Users may raise complaints regarding a Booking, the Platform, or a Hotel Partner through the customer support channels published on the Platform.

22.2 We will acknowledge complaints within five (5) business days and aim to provide a substantive response within thirty (30) days, depending on the complexity of the matter and any investigation required with the relevant Hotel Partner.

23. Amendments to these Terms

23.1 We reserve the right to amend these Terms at any time. Material amendments will be notified through the Platform or by email prior to becoming effective.

23.2 Continued use of the Services after the effective date of an amendment constitutes acceptance of the amended Terms. If you do not agree to an amendment, you must discontinue use of the Services.

23.3 Bookings confirmed prior to an amendment shall continue to be governed by the Terms in effect at the time the Booking was confirmed, except where a change is required by law.

24. Notices

24.1 Notices to Users may be delivered by email to the address associated with the Account, by in-app notification, or by posting on the Platform.

24.2 Notices to Hydra Travels Inc. must be sent in writing to the address specified in Section 25.

25. Miscellaneous

25.1 Entire Agreement. These Terms, together with the Privacy Policy and any Booking-specific terms, constitute the entire agreement between the User and Hydra Travels Inc. regarding the Services, superseding all prior agreements or understandings.

25.2 Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be deemed modified to the minimum extent necessary to make it enforceable.

25.3 Waiver. Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision.

25.4 Assignment. We may assign or transfer these Terms, in whole or in part, without restriction. Users may not assign or transfer their rights or obligations under these Terms without our prior written consent.

25.5 Relationship of Parties. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between the User and Hydra Travels Inc., except as expressly stated.

25.6 Language. These Terms are drafted in English. Any translation provided is for convenience only, and the English version shall prevail in the event of any discrepancy.

26. Loyalty Program and Rewards

26.1 We may operate a loyalty or rewards program under which Users earn points, credits, or tier benefits for completed stays booked through the Platform, subject to program-specific terms published on the Platform.

26.2 Points and credits have no cash value, are non-transferable, and may expire if unused within the period stated in the program terms.

26.3 We reserve the right to modify, suspend, or discontinue the loyalty program, or any benefit associated with it, at any time, subject to honouring points already earned and eligible for redemption at the time of any such change, to the extent required by applicable law.

26.4 Fraudulent accumulation or redemption of points, including through duplicate accounts or speculative Bookings, may result in forfeiture of points and termination of the Account.

27. Promotional Codes, Vouchers, and Group Bookings

27.1 Promotional codes and vouchers are subject to the specific terms disclosed at the time of issuance, including minimum spend, applicable rate types, blackout dates, and expiry.

27.2 Promotional codes are single-use per Account unless otherwise stated, may not be combined with other offers unless expressly permitted, and may not be resold or transferred.

27.3 We reserve the right to withhold or reverse the benefit of a promotional code obtained through fraud, abuse, or violation of these Terms, including cancellation of the associated Booking.

27.4 Bookings involving ten (10) or more rooms, or block bookings for events, are treated as group Bookings and may be subject to separate rate agreements, deposit requirements, and cancellation terms communicated directly by the Hotel Partner or our group Bookings desk.

28. Travel Advisories and Travel Insurance

28.1 Users are solely responsible for reviewing applicable travel advisories, visa requirements, health and vaccination requirements, and entry restrictions issued by relevant governmental authorities prior to travel.

28.2 We do not provide travel insurance as part of the Services. Where travel insurance is offered as an optional add-on at Booking, it is underwritten and administered by a third-party insurer, and any claim must be made directly with that insurer under its own policy terms.

28.3 We are not responsible for losses arising from a User's failure to hold valid travel documentation, insurance, or to comply with entry requirements of the destination.

29. Accessibility

29.1 We aim to make the Platform accessible to Users with disabilities and take reasonable steps to conform to recognised web accessibility guidelines.

29.2 Accessibility features and accommodations at a specific property, including step-free access, are determined by the Hotel Partner. Users with specific accessibility requirements should confirm availability directly with the Hotel Partner prior to Booking, and may note such requirements in the special requests field, which is passed to the Hotel Partner on a reasonable-efforts basis and is not guaranteed.

30. Prohibited Uses

30.1 In addition to the restrictions in Section 11, Users shall not use the Services to do any of the following.

• Violate any applicable export control, trade sanctions, or anti-money-laundering law, including making a Booking involving a sanctioned individual, entity, or jurisdiction.
• Transmit any virus, malware, or other harmful code through the Platform.
• Misrepresent affiliation with Hydra Travels Inc. or any Hotel Partner.
• Harvest or collect Personal Information of other Users without authorisation.
• Use the Platform to facilitate activity that is unlawful in the User's jurisdiction or the jurisdiction of the property booked.

30.2 You represent and warrant that you are not located in, under the control of, or a national or resident of any country or territory subject to comprehensive trade sanctions, and that you are not listed on any restricted party or denied persons list maintained by a competent governmental authority.

31. Anti-Bribery and Anti-Corruption

31.1 Users shall not offer, promise, give, or authorise any payment or benefit to any employee, agent, or representative of Hydra Travels Inc. or a Hotel Partner for the purpose of improperly influencing a Booking, rate, or business decision.

31.2 Violation of this Section may result in immediate termination of the Account and, where applicable, referral to competent authorities.

32. Electronic Communications and Consent

32.1 By using the Services, you consent to receive communications from us electronically, including by email, SMS, push notification, and in-app messaging. You agree that any notice, disclosure, or other communication satisfies any legal requirement that such communication be in writing.

32.2 Transactional communications, including Booking Confirmations, payment receipts, and material changes to these Terms, will be sent regardless of marketing preferences, as they are necessary for the operation of the Services.

33. Class Action Waiver

33.1 To the maximum extent permitted by applicable law, any proceeding to resolve a dispute under these Terms, whether in arbitration or in court, shall be conducted solely on an individual basis. Users waive any right to bring or participate in a class, collective, consolidated, or representative action.

33.2 If this class action waiver is found unenforceable in respect of a particular claim, that claim, and only that claim, may proceed in a court of competent jurisdiction, and all other claims remain subject to Section 21.

34. Survival

34.1 The provisions of these Terms relating to Payment Terms, Cancellation and Refunds for completed transactions, Intellectual Property, Limitation of Liability, Indemnification, Dispute Resolution, Class Action Waiver, and Miscellaneous shall survive termination or expiry of these Terms, or closure of a User's Account, to the extent necessary to give effect to their intent.

35. Interpretation

35.1 Section headings are inserted for convenience only and do not affect interpretation of these Terms.

35.2 References to "including" or "includes" shall be construed as "including, without limitation", unless expressly stated otherwise.

35.3 Where these Terms are made available in a language other than English, the English version shall govern in the event of any inconsistency, as stated in Section 25.6.

36. Consumer Protection Acknowledgements

36.1 Nothing in these Terms is intended to limit any non-waivable statutory right available to a consumer under the mandatory law of the User's place of residence, including rights relating to defective services, misleading conduct, or unfair contract terms.

36.2 Where a provision of these Terms is found to be unenforceable against a consumer under such mandatory law, that provision shall be read down to the minimum extent necessary to comply, without affecting the remainder of these Terms.

37. Data Protection

37.1 Processing of Personal Information in connection with the Services is governed by the Privacy Policy, available on the Platform, which is incorporated into these Terms by reference.

37.2 By completing a Booking, a User authorises the disclosure of necessary Booking details to the relevant Hotel Partner strictly for the purpose of fulfilling that Booking, as further described in the Privacy Policy.

38. Feedback and Suggestions

38.1 Any feedback, suggestion, or idea submitted by a User regarding the Services may be used by us without restriction or compensation, and shall not be treated as confidential unless expressly agreed in writing.

39. Availability of these Terms

39.1 A current version of these Terms is available on the Platform at all times and may be downloaded or printed for a User's records. Prior versions are available upon written request.

40. Annexure A — Additional Defined Terms

36.1 In addition to Section 2, the following terms carry the meanings set out below wherever used in these Terms.
